Corporate governance

PSAA’s articles of association and its corporate governance framework set out the company’s responsibilities and required procedures, ensuring we are governed to a high standard.

The articles of association were originally approved by the PSAA Board on 30 March 2015 and registered with Companies House in May 2015. Updated articles were approved in October 2024 to increase the maximum number of Board members from five to seven.

Committees

The Board may appoint committees with such memberships and terms of reference as the Board deems appropriate. Committees exercise functions delegated to them, providing more detailed consideration of specific work areas and advising the Board accordingly.

Procurement and Appointments Committee

The PSAA Procurement and Appointments Committee meets as required. It has delegated powers to make decisions on procurements and auditor appointments within the parameters established by the Board (with the exception of the main audit services procurement) with follow-up reporting to the Board. The Committee’s terms of reference are set out in our Corporate Governance Framework.

The others committees have powers to make recommendations to the Board for approval:

Audit Committee

The PSAA Audit Committee meets at least twice a year. The Committee’s terms of reference are detailed in our Corporate Governance Framework.

External Auditor

MHA Services LLP are our appointed external auditors for the audit of accounts for 2022/23 to 2024/25, with an option to extend for one year.

People and Remuneration Committee

The PSAA People and Remuneration Committee meets as required and at least once a year. The Committee’s terms of reference are detailed in our Corporate Governance Framework.

Gifts and hospitality

We maintain a register of offers of gifts and hospitality exceeding an estimated value of £30, whether accepted or not.

For the three-year period 1 April 2015 to 31 March 2018 there were no declarations of gifts or hospitality that required to be registered.
